Affiliate Program Terms & Conditions

These Terms and Conditions (“Terms”) govern participation in the Flatpay Affiliate Program (the “Program”) operated by Flatpay ApS, a Danish company with its principal office at Hørkær 16, 2730 Herlev, Denmark (“Flatpay”, “we”, “us”, or “our”).
By applying to, participating in, or continuing participation in the Program via PartnerStack, you (“Affiliate”, “Partner”, or “you”) agree to be bound by these Terms.

1. Program Overview

The Flatpay Affiliate Program enables approved partners to promote Flatpay’s products and services in exchange for referral commissions, as further detailed herein. The Program is administered through the PartnerStack platform, which provides tracking, reporting, and payment functionality.

2. Eligibility and Enrollment

2.1 Eligibility. Participation is open to registered businesses and agencies operating in the following markets: Denmark, Finland, Germany, Italy, France, and the United Kingdom. Additional markets may be opened at Flatpay’s discretion.

2.2 Application Review. Most applicants will undergo manual review. Flatpay reserves the right to approve or reject any application at its sole discretion.

2.3 Prohibited Participants. The Program is not open to entities engaged in gambling, adult content, misleading marketing, coupon/deal aggregation, or any other activities inconsistent with Flatpay’s brand values or legal obligations.

3. Promotion Rules and Restrictions

3.1 Permitted Channels. Affiliates may promote Flatpay using legitimate digital marketing channels, including content marketing, social media, email, and paid media, unless otherwise restricted.

3.2 Prohibited Conduct. Affiliates may not:

  • Bid on Flatpay-branded keywords or trademarks in paid search or advertising platforms.
  • Use Flatpay’s name, logo, or imagery in social ads without prior written consent.
  • Engage in spam, fake leads, incentivized signups, misleading claims, or any deceptive marketing practices.

3.3 Content Approval. Flatpay reserves the right to require pre-approval of promotional content, including ad copy, visuals, or email templates.

4. Commissions and Payments

4.1 Commission Structure. Approved Affiliates are compensated based on:

  • Cost per Lead (CPL) — for qualified leads validated by Flatpay; and
  • Cost per Booking (CPB) — for meetings held between Flatpay and the referred prospect.

4.2 Validation. Referrals are verified against Flatpay’s internal CRM and customer databases. Leads are typically reviewed within forty-eight (48) hours, and meetings are validated within seven (7) to fourteen (14) days following confirmation of occurrence.

4.3 Payout Schedule. Payments are made on a monthly basis through PartnerStack.

4.4 Invalid or Cancelled Referrals. Referrals that are fraudulent, duplicate, irrelevant, or otherwise non-compliant will be rejected and no commission shall be payable.

5. Tracking and Attribution

5.1 Tracking Method. All referrals must be tracked via PartnerStack-issued affiliate links. Referrals generated through any other means are ineligible for commission.

5.2 Attribution Model. The Program operates on a last-click attribution basis.

5.3 Cookie Window. Referral cookies remain valid for thirty (30) days.

5.4 Verification. Attribution data is verified through automated API calls between Flatpay and PartnerStack systems.

6. Brand Use and Compliance

6.1 Approved Materials. Affiliates may use Flatpay-provided marketing assets (logos, banners, product images, and other creatives) made available within the PartnerStack portal.

6.2 Unauthorized Modifications. Affiliates may not modify, reproduce, or create derivative works of Flatpay assets without prior written consent.

6.3 Trademark Usage. Use of Flatpay’s name, brand, or trademarks in domain names, ad copy, or misleading contexts is strictly prohibited.

6.4 Compliance Enforcement. Flatpay reserves the right to suspend or terminate any Affiliate account immediately upon detection of fraudulent, misleading, or non-compliant activities.

7. Termination and Liability

7.1 Termination by Flatpay. Flatpay may terminate participation immediately upon breach of these Terms, or otherwise with thirty (30) days’ written notice.

7.2 Termination by Affiliate. Affiliates may terminate their participation with thirty (30) days’ written notice, subject to mutual agreement.
7.3 Forfeiture of Commissions. Unpaid commissions will be forfeited in the event of termination due to breach.

7.4 Limitation of Liability. To the maximum extent permitted by law, Flatpay shall not be liable for any indirect, incidental, or consequential damages, including loss of income or reputation, arising from participation in the Program.

8. Data Protection and Confidentiality

8.1 Data Access. Affiliates may only access referral data through the PartnerStack platform.

8.2 Compliance. Flatpay complies with all applicable data protection laws, including the EU General Data Protection Regulation (GDPR).

8.3 Confidentiality. Affiliates must treat all non-public information, program materials, and referral data as confidential and shall not disclose such information to any third party without Flatpay’s written consent.

8.4 Non-Disclosure to Competitors. The Affiliate shall not, directly or indirectly, disclose, transmit, or otherwise make available any information obtained through participation in the Program - including but not limited to program structure, commission rates, lead data, marketing materials, or product information - to any business, entity, or individual that competes, or is reasonably likely to compete, with Flatpay. 

9. Dispute Resolution

9.1 Governing Law. These Terms are governed by and construed in accordance with the laws of Denmark.

9.2 Jurisdiction. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Denmark.

10. Amendments and Notices

10.1 Updates. Flatpay reserves the right to modify or update these Terms at any time with at least thirty (30) days’ prior notice.

10.2 Notification. All updates will be communicated via email and/or through PartnerStack platform notifications.

10.3 Continued Participation. Continued participation in the Program after the notice period constitutes acceptance of the revised Terms.

11. Entire Agreement

These Terms constitute the entire agreement between the parties regarding participation in the Flatpay Affiliate Program and supersede any prior oral or written understandings related to the subject matter herein.
